Risk Disclosure Statement

Investing in equities and initial public offerings involves risk, including the risk of losing some or all of your invested capital. You should read this statement carefully and, if necessary, obtain independent financial, tax and legal advice before trading.

1. Purpose

This statement is provided by 287 Capital Pty Ltd (AFSL No. 700300) to alert clients to the general risks associated with trading listed equities and participating in primary market offerings. It is not exhaustive and does not replace product-specific disclosure documents.

2. Market Risk

Equity prices can move sharply due to macroeconomic conditions, company-specific news, geopolitical events, changes in interest rates and shifts in investor sentiment. Past performance is not a reliable indicator of future results.

3. Liquidity Risk

Some securities, particularly small-cap and newly listed stocks, may have limited trading volume. You may be unable to sell at a desired price or at all during volatile conditions.

4. IPO-Specific Risks

Initial public offerings carry additional risk: allocations are discretionary and may be scaled back; there is limited historical trading data; lock-up expiries can create selling pressure; and post-listing prices can trade materially below the offer price. Access to certain offerings may be restricted to wholesale or sophisticated investors under the Corporations Act.

5. Foreign Exchange Risk

Trading US and international equities exposes you to FX risk. Currency movements between AUD, NZD, USD and other currencies can materially affect returns, independent of the performance of the underlying security.

6. Counterparty and Custody Risk

Trades are executed and settled through third-party brokers, clearing houses and custodians. Although we select regulated counterparties, their default or insolvency could delay or impair the return of your assets.

7. Operational and Technology Risk

System outages, connectivity failures, cyber incidents or third-party service disruptions may prevent order entry, cancellation or timely settlement. We maintain business continuity procedures but cannot guarantee uninterrupted service.

8. Regulatory and Tax Risk

Changes to Australian, US or other tax and securities laws may affect the value of your investments or your ability to hold certain products. You are responsible for your own tax obligations, including any withholding tax on US-source income.

9. Leverage and Margin

287 Capital does not currently offer margin lending. Where any leveraged product is made available in the future it will be accompanied by specific disclosure. Leverage magnifies both gains and losses.

10. Suitability

You should only invest amounts you can afford to lose and maintain a diversified portfolio appropriate to your objectives, financial situation and needs. If you are unsure whether a product is suitable, seek personal advice from a licensed adviser.
